The direct answer: prepare a closure plan, not just a licence cancellation
Letting a licence expire is not a substitute for formally closing the business. The UAE government describes different cancellation requirements by legal form and emirate, including liquidator involvement for relevant company types. Your licensing authority, tax registrations, workforce and outstanding contracts determine the required sequence. There is no universal checklist that guarantees all liabilities disappear.
Build a dependency map before starting
Our practical approach is to list each open obligation, its owner, the evidence needed and which other step it depends on. Work backwards from the intended closure date. Some steps can run in parallel; others need an authority decision or a completed settlement first.
| Workstream | Question to resolve |
|---|---|
| Company and licence | Which shareholder decisions, liquidator appointment, notices and clearances does this legal form require? |
| Employees and immigration | What final dues, work-permit and residence-visa cancellations need coordinating? |
| Accounts and creditors | What must be collected, paid, reconciled or retained before final accounts? |
| Tax | Which registrations, final periods, applications and payments remain open? |
| Bank and contracts | What access is needed for remaining payments, refunds, utilities, leases and evidence? |
VAT deregistration: confirm the trigger and deadline immediately
Mandatory and voluntary deregistration are different. Article 14(1) of the MoF-hosted Executive Regulation states 20 business days for the relevant deregistration cases. However, the FTA service page retrieved on 7 October 2026 states 30 business days. This discrepancy has not been resolved here: do not rely on the longer wording or wait for licence cancellation before checking your obligation with the FTA.
The FTA service page states that the final VAT return and payment are due within 28 days of the effective deregistration date. Review remaining business assets and outstanding liabilities: deregistration does not erase earlier obligations. Retain the approval and effective date, not just proof that an application was started.
Corporate tax can still matter if the company never traded
The FTA's clarification says cessation during the first tax period does not remove an otherwise applicable registration duty. For a juridical person, the deregistration application deadline is three months from the relevant triggering event. Confirm the event, final tax period and outstanding filing/payment requirements for that entity; do not assume a zero-sales company can simply ignore its tax account.
Keep a closure evidence pack
Before closing online access, export the records you will need later. Keep the checklist's status precise: requested, submitted, approved or completed. A consultant's invoice is not an authority's cancellation certificate. Resolve the order of bank closure around the remaining transactions rather than applying a rigid 'bank last' rule.
- Owner/shareholder decisions and the licensing authority's required approvals.
- Final accounts, reconciliations and the appointed liquidator's report where applicable.
- Employee settlements and relevant cancellation receipts.
- Tax applications, correspondence, final returns, payments and deregistration confirmations.
- Bank closure confirmation and records needed after access ends.
- A record-retention owner and protected access arrangements after the business stops.
Scope the support and external costs separately
Meraki can coordinate the agreed closure and tax-preparation work. Authority charges, liquidator fees, employee dues, unpaid tax and other outstanding liabilities are separate components; no single advertised service fee settles all of them. Share the legal form, licensing authority, staff/visa position and tax-registration status to start.
