Free zone or mainland in the UAE: how to choose

Compare the activity you will actually perform, where you will perform it, premises, staffing and total operating cost—not just a licence headline.

The direct answer: start with your activity and operating model

Neither mainland nor free zone is automatically the better choice. Write down what you will sell, where staff will deliver it, whether goods cross borders, what premises are needed and which approvals clients expect. Then compare suitable licensing routes. An inexpensive licence that cannot support the intended operation is not a saving.

Mainland access is not a simple yes-or-no rule

Do not assume every free-zone business is barred from mainland work or that every mainland licence authorises every activity everywhere. Dubai's Resolution 11 of 2025 provides routes for eligible free-zone establishments to obtain DET branch licences or activity permits, subject to conditions, approvals and the relevant activity list. Financial establishments licensed in DIFC are outside this resolution.

The framework requires separate financial records for activities outside the free zone within Dubai. Operations in another emirate require the applicable permissions there. DET announced its Free Zone Mainland Operating Permit in October 2025; confirm present eligibility with the licensing authorities rather than treating a permit as automatic or universal.

A decision table for your first comparison

This table is a decision aid, not an authority eligibility assessment. Use the same business description for each provider so their answers are comparable. Ask for written exclusions when a quote says an activity is 'included'.

Your situationWhat to verify before choosing
Staff work at customer premisesActivity permission, location and any additional approvals
Importing or distributing goodsCustoms, storage and mainland distribution arrangements
Online or international servicesActual delivery location, licensed activities and contractual requirements
Government or large-company customersVendor eligibility, tender conditions and required registrations
Employees and owner residenceVisa eligibility, quotas, work arrangements and premises
Holding assets rather than operatingWhether a holding or offshore structure fits its own rules; do not assume it supplies operating or visa rights

Separate licence suitability from tax treatment

A free-zone licence does not by itself establish 0% corporate tax. Qualifying Free Zone Person status depends on conditions and qualifying income; the updated qualifying/excluded activity framework is in Ministerial Decision 229 of 2025. Review the actual income streams and structure before using a tax outcome to choose a licence.

Compare first-year, renewal and change costs

Build two budgets using matching assumptions. Put licence and premises charges in one column, visas and related costs in another, and professional assistance in a third. Record whether VAT is included. Ask what changes when an introductory offer expires, a second employee joins or a larger workspace becomes necessary.

Avoid assuming every residence route renews on the same cycle. Separate annual licence renewal from visas, insurance and other costs that fall due at different times. Our setup estimator provides a starting budget, with approximate components labelled; the authority's confirmed scope and current quotation govern the final decision.
